Terms & Conditions

Welcome to Neuzenix LLC (“Neuzenix,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your use of our website, products, and services, including AI solutions, SaaS, ERP, smart websites, and digital marketing services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you disagree, please do not use our Services.

1. Eligibility & Acceptance

You must be at least 18 years old and legally able to enter into contracts. Use of our Services constitutes an agreement to these Terms and any future amendments.

2. Service Agreement & Scope

Each project or service engagement will be governed by a separate Service Agreement or Statement of Work (“SOW”), which will define deliverables, timeline, fees, milestones, and responsibilities.

3. Right of Withdrawal & Refund (New Mexico Compliance)

For service contracts governed under New Mexico’s Service Contract Regulation Act, you may cancel within:

• 20 days if the contract was mailed,

• 10 days if delivered at the time of purchase.

If no claim is made and cancellation occurs within the applicable period, Neuzenix will issue a refund within 60 days of receipt, failing which a penalty of 10% per 30-day period may apply servicecontractscompass.com+5osi.state.nm.us+5nmlegis.gov+5.

4. Payment Terms

Payment schedules are defined in the SOW. Invoices are due as specified. Late payments may result in interest charges or suspension of services. You remain liable for fees incurred before cancellation.

5. Intellectual Property

Upon full payment, you receive ownership of Client Deliverables as defined in the SOW. Neuzenix retains ownership of any pre-existing or agency-developed IP, proprietary tools, or methodologies.

6. Confidentiality

Both parties agree to protect confidential information and not disclose it without prior written consent. This obligation continues for two years post-termination.

7. Warranties & Disclaimers

Services are provided “as is” without warranty of accuracy or fitness. Neuzenix makes no guarantee of uptime, results, or error-free performance. No implied representations of merchantability or fitness are made.

8. Limitation of Liability

Our liability is limited to direct damages up to the total fees paid under these Terms. We are not liable for consequential, incidental, indirect, or punitive damages, lost profits, or data loss, even if foreseeable.

9. Indemnification

You agree to indemnify and hold Neuzenix harmless from claims arising out of your breach of terms, misuse of Services, or violation of laws or third-party rights.

🔟 Termination

Either party may terminate these Terms or the associated SOW with 15 days’ written notice. You are responsible for all work completed and fees due up to termination date.

11. Governing Law & Dispute Resolution

These Terms are governed by New Mexico law. You must file written notice of dispute within 90 days of the matter arising. Any unresolved disputes will be resolved through arbitration in Bernalillo County under the rules of the American Arbitration Association.

12. Modifications

We may update these Terms at any time. We will notify you of material changes via email or website notice. continued use after notice constitutes acceptance.

13. Severability

If any provision is found unenforceable, the remainder remains in full effect.

14. Entire Agreement

These Terms, along with the SOW, constitute the entire agreement regarding the Services and supersede all prior agreements.

15. Communication Consent

By providing your contact information (e.g., name, email address, phone number), you consent to receive communications from us via SMS, email, or phone calls. This includes, but is not limited to:

• Marketing and promotional messages;
• Updates about our products and services;
• Important announcements and notices.
